Our Chair has decided to step down after 6 years. She also served as a trustee for 8 years before that. We have a policy that no-one serves for more than 8 consecutive years (although this does not apply to the Chair).
She is not happy with the person elected to be the new Chair and is insisting that she be allowed to stay on as Chair. This goes against our polices, is not fair on other trustees who have to step down after 8 years and more than this, is not fair on the new Chair to have a critical back seat driver (which will happen).
She has a small group of trustees who are supporting her in this but the rest would not.
I need to write a paper for the Company Secretary which outlines the issues. At the moment I can't quite articulate just why it is so inadvisable for the old Chair to sit and watch the new one. Even Blair didn't do this!!
Can anyone help me formulate the moral case here?
