can anyone help re: employment law?

I know that if a company takes over another one then they cannot enforce worse terms and conditions on the employees without their consent but I cannot remember the actual name of the law that describes this. Can anyone jog my memory please?

I believe there are a whole host of new TUPE guidelines that have just come in ... or are just about to come in.
