Saw an old friend tonight and she was telling me about selling her business but I’m concerned she’s being done over…she would happily admit she can be naive/trusting just to add… I didn’t really dig because of course I’m chuffed and proud of her and didn’t want to be negative but can someone help me understand….

Sale
Agreed Price 32
Split three ways
= 10.66666 each

Received at sale 5 each
Totals 15
Leaves 17 owed

Escrow 2 each
Totals 6
Leaves 9 owed??

I played dumb and asked about the maths and she said there is an earn out bonus/target they have to hit but that would exceed the amount of the sale price so can’t see how this is included…where has the 9 gone?

I don’t know the answer to your question about how this deal is structured, but 32 - 15 - 6 = 11, not 9

Butt out
You can’t help her with this clearly
just urge her strongly to seek legal advice

Op you are not the one to assist her with this
signpost her to a solicitor

Does she mean 6 is the Escrow fee and 9(or 11) is the balance they are holding until the earnings target is met?
Seem a very high fee though
