Set-up a Ltd company a year ago- no trade. Do I need to file accounts?

I set-up a Ltd company a year ago when I thought I might do a consulting project but in the end I decided not to. I haven’t used the company at all. Do I need to do anything for companies house or HMRC? I am tying myself in knots on their websites! Any advice very gratefully received!

Yes you still need to file accounts.

Yes & if you don't you can be fined for not doing it so you need to make sure they are filed in time.

If you want to keep the company then you need to;

  1. File accounts with Companies House. You have 21m the after the formation to file the first set of accounts, thereafter 9m after each period end. If the company has done nothing other than issue the original subscriber shares you can file "Dormant Company Accounts" directly on the Companies House website. You will need to set up an account and have the company authentication code (this would have been sent when you registered, and you can request it to be resent if you have lost it).
  1. File an annual confirmation with Companies House. This is due on the anniversary of formation and costs £13 to file online. You'll need the same account and code as above.
  1. Contact HMRC and tell them the company is Dormant, has never traded and ask them to remove the requirement to file corporation returns.

Alternatively, if you don't want the company apply for it to be struck off, costs £14 and once done you'll have no ongoing requirements.

If the company hasn’t had any trade file the DCA form with companies house

Then send a copy to HMRC
