Gazumped on day of exchange

I'm writing this post on behalf of a friend who is distraught this evening. Her and her husband had their offer accepted on a house in January that had come back on the market following a collapse in a chain. An offer was made an accepted on their property too at the same time; their buyers are living with family and the house they were buying was empty, so a small chain.
Today she received a call from the vendor's solicitor to say that the house has now been sold (and contracts exchanged) with the previous buyer, despite my friend's solicitor now having completed searches and ready to exchange. It turns out that the previous buyer went back to the agent to say that she was now in a position to proceed with the purchase, but the agent told her it was days away from exchange. Having previously corresponded with the vendor's solicitor, she then spoke to them and the vendor accepted her offer and exchanged immediately. Presumably she had already done searches etc in order to be in this position - we don't know.
I'm just so angry for my friend and her husband - they had just accepted a place at the local primary school for their daughter. They've ordered a new sofa. They've literally packed up their house ready to go this week. How can anyone be so selfish to go out of their way to do this, and what absolutely bell* of a vendor!

I think your friend is confused. You can’t exchange immediately after the offer.

I think that was when OP’s offer was accepted.

She then mentions a different buyer who apparently made an offer and immediately exchanged.

But their solicitors also have to draw up contracts, have raised queries etc. if they really have exchanged then the sellers made the decision to proceed with a higher offer a few weeks ago and have been merrily stringing them along.

Possibly. Unless they used the previously drawn up contracts and queries, and could carry on from there?

Yes your friend needs to manage this with solicitor and agent advice, and probably has to accept what’s happened. I suggest she continues with her sale and rents, holiday let if necessary, to put her in a strong position to buy and move quickly going forward.

Agree - this is the same advice I gave her too. She really doesn't want to let down her buyers!

Surely a seller isn't allowed to accept two offers and permit them to complete all the paperwork and just give it to whoever completes first? That is really devastating. Can take this to a property tribunal ?

No way has that all happened in one day, the vendors are telling porkies. What has the estate agent got to say? Nothing is guaranteed until exchange has happened though, from bitter experience I would not pack a thing until contracts are exchanged. Some people are awful.

My friend called the estate agent to ask what the hell has happened, and they didn't have a clue that the vendor had done this! They had spoken to her on Thursday to say that the previous buyer had been in touch but the agents told her that it was too far along. The agents then spoke to the vendor who agreed that she'd missed her opportunity.
It seems that the woman then went directly to the vendor's solicitor, so the agents were unaware until today.

Technically you don’t need a solicitor to do a conveyancing transaction.

I’ll-advised, but possible to do alone

Unfortunately vendors pulling out on the day of exchange does happen, I've known it happen a few times with friends.

Something very underhand, but still perfectly legal, has happened here.

However, your friend should have known better than to arrange anything definite before exchange because things can go wrong. Don't book removals, buy furniture or move children's schools till you've exchanged. I'm actually surprised the new school would give a place, when I moved one of my children's schools they had to see proof of address in catchment before confirming the place.

Both the agent and the solicitors will get their fees through so they don’t care about your friend. I suspect the agent did know that this would happen on Thursday.

This happened to me. Saw a flat and was told it was under offer but the sale was dragging so vendor put it back on the market. So I viewed it and put an offer in. The sellers accepted if I could proceed quickly. This was back in the day when you could view on a weekend and get searches, survey and mortgage approval within a few days. Five days later I was ready to exchange only for my solicitor to find out they had exchanged with the other buyers earlier that day. Scum.

Agreed. Both buyers and sellers seem better protected in Scotland even though the Offers Over system means prices are more open to market pressure.

The solicitor acting for the vendor would be under a duty to advise the other parties if there is a contract race. There's something off about this.

Duty to advise yes but they need permission from the client first. If all the work was already in place before the previous sale fell through then it would be perfectly possible to move that quickly with a cash buyer. Such a shitty process we have in England!
