Looking for some advice ref Companies House and Purchase of Freehold

I am in a group of flats purchasing our freehold so we will all be shareholders – we are incorporating a company and am aware that this needs to be registered with Companies House – however, some of the flats/leaseholders DO NOT want their personal details to be made public on Companies House and was wondering if there is a way around this.

Can we nominate one or more director (upon their agreements) who would be happy to be directors of the company and have their details listed on CH register?

As equal shareholders, do we all have to be listed on CH or can we opt out if we have at least 1 director?

Of course the person would be happy to be director ad have their details made available on CH.

Must all companies listed on CH have a secretary?

Must the details of all shareholders be shown on CH register?

Has anyone experience of incorporating a company on CH?

There are two categories of individual that must be named and an address provided on Companies House. These are:

  • Directors
  • Persons with Significant Control
Both can use a correspondence address. For example, I am a director of two companies listed at Companies House and for both my address is given as that of the accountants we use.

Persons with Significant Control include shareholders owning more than 25% of the shares, or with more than 25% of voting rights, or with the right to appoint and remove directors.

The addresses of shareholders that don't meet the PwSC thresholds are not listed on Companies House.

I and the others are equal shareholders and some do not want to be included on a public facing register on the internet - is there a way around this, if for example if there is one director who is happy to have their details listed?
As a shareholder is it mandated that we are to be listed with our personal details? Or can we opt not to include personal data?

ALL directors have to be listed, but NONE of them have to use their residential address.

The role of the directors is important, do not decide how many or who just on the basis of being named (or not) at Companies House.

The Shareholders Register is not a public document, that's something that your new company will maintain for itself. If each shareholder holds 25% or less of the overall share issue then they're unlikely to be Persons With Control and won't have to be listed.

Anyone who is listed can use a correspondence address that's not their residential address. Although, to be honest, given the nature of the business you're seeking to establish and the likely wording of the Articles it's not going to take a genius level IQ to get from a name to a very close approximation of an address. You could use your accountant or a solicitor, or would it be possible to set up a mail box in the building that could be used?

Get professional advice, in the nicest possible way you sound like you need it. There's a real risk of back seat driving from sloping shouldered shareholders if you go the one director route. And that's a sure-fire route to trouble ahead.

Under the People tab:

  • Directors - none are listed by their home address
  • Persons With Significant Control - none are listed by their home address
If you look under the Filings tab and go back to Incorporation, there are nor personal details listed there either - it was set-up via a third party registrar.

Now, Confirmation Statements.. these list the shareholders by name, but do not include any address details. But, with a company formed to manage a residential building it's not going to be hard to guess most of the address of each shareholder...

Thank you again! Trying to get my head around this! Thank you for sharing the link - it's so useful - so for both Directors and Person's with Significant Control no personal addresses are added but DOBs are!
Good to know that it can be set up by a third person, I guess a solicitor or accountant?
Know what you mean by backseat driving from sloping shouldered shareholders! What a phrase!
