Resigning as a company director

I need to resign my position as a Director from a limited company. Does anybody know if I need to submit this in writing?

The reason I ask is that the company accountants have referred to this in their directors' meeting minutes that I submitted a letter of regisnation. I did not. I am resigning, and actually I have signed the necessary documents, but there is a reference to a letter from me which I did not write.

I am not happy to think that a letter from me which I did not write has been produced and makes me wonder what else I may have put my name to.

Does anyone have any advice?

What does it say on Companies House? Have you been removed there? A director, secretary, administrator etc can all complete a form for Companies House to notify that a director has resigned or been resigned.

I'd take legal advice if you think there has been fraud and someone has written a letter in your name.

Just to add that if you think your name is being put to things you are unaware of, it's probably a good idea to resign and if the form hasn't been put in at Companies House you might want to do that yourself to make sure it's done!

As you are currently a director speak to the accountants to find out what happened.

Is this minutes for the meeting you were at? The accountants probably have template board minutes for the resignation of a director that they have dusted off. If you ask for the record to be updated as you didn’t write a letter, then I’m sure they would correct it.

The part that matters is Companies House. Have the forms been submitted to resign you?

I wasn't at the meeting. @Snittler yes the accountants have said it was just a template but I am suspicious that they are fobbing me off.

I am highly suspicious of the accountants - being directed by my ex-husband. I have signed the forms, so maybe it's all irrelevant anyway, but I don't like the idea of a letter purported to be written by me, which was not, being created.

My ex-husband says I am being pedantic. But I am really concerned.

Ask for the minutes to be amended. Send a copy of the request to the practice manager. Keep a record of the request and response.

As the accountants have said, it's a template for director resignations. It's common for small businesses to do that. If you've signed the forms, it's irrelevant, though I can understand it is annoying for it so say you've written a letter when you haven't. Ask them to amend it. It's only internal paperwork so it's not submitted to Companies House. I don't think it's anything to worry about, just sloppy admin.

You are overthinking this. They've used some boilerplate text and not corrected it for the fact you didn't submit a letter. It does not mean there is a forged letter somewhere, still less that they have forged your signature on other documents.

Thanks for all responses. I will ask for the minutes to be amended. I may well be overthinking it, I know. But with good reason! My ex is as hooky as I don't know what!
