Management committee gone rogue!

Long story short...

In our residential block the management commmittee we have a handful of directors.

2 of which are very vocal and block popular initiatives, push through daft things etc on the basis of 'the Board Says' - which is really these 2 bullying everyone else and making decisions.

We had residents meeting where we asked for a committee secretary to be appointed and for more directors to be brought on board.

Now it seems that we dont 'need' a secretary and the current directors are in charge of submitting the new director paperwork - so they have sat on the forms and refused to send them onto companies house.

One director is treating the building as his own fiefdom - people are wary of him as he can get very nasty and he really has no boundaries. He is up to his tricks today (can't go into details) but he sees to have been lying to get his own way and has upset a lot of people.

What can we do with an aggressive and bullying committee? The management company are one step away from walking away due to his (and his mate's) outrageous behaviour.

From what you have written it sounds like the residents are members of a limited company and the committee are the directors of that company.

The directors are correct that the company is not required to have a company secretary unless the Articles of Association say one is needed. As for electing additional directors, a lot depends on what the Articles of Association say. It may be, for example, that the Articles stipulate the number of directors, in which case you need to modify the Articles before additional directors can be elected. However, if the new directors were validly elected the other members may be able to take action against the current directors for ignoring the appointment. You need to get a copy of the Articles of Association (you can get this from Companies House if you don't have a copy already) and consult a solicitor.

Alternatively, if enough people are onside, you could requisition a special general meeting to pass a vote removing these directors. But, from what you say, they may ignore that too.
