Is there anything dodgy about my DB asking me to be a secretary for his company?

My brother is setting up a ltd for his locum work he does as a healthcare professional.

He has asked me if he can put me down as a secretary. I said no as I am not the secretary for his company and I don't understand what it means to be one.

He says it's just there as a thing and I don't need to do anything .

He has form for doing dodgy stuff and wondered if this was what it was about? He won't answer me clearly which is why I am suspicious. when I ask him and days it doesn't affect me in any way do doesn't understand why I have a problem with it. Are there any tax reliefs for him to have a secretary or anything like that?

there is some tax/finance reason I suppose.

IIRC the Company Secretary is more liable and therefore more likely to go to jail than the Company Directors if the company did bad stuff.

No, no - it’s the other way round. Co sec is more an administrator than a decision maker

I believe it's so they can draw more dividends from the company.

not officers
FFS if you are not a Company Director or a Company Secretary,
go and read the Companies House site before posting

ah yes my brother put my mother down as company secretary once. without asking.... there is some tax/finance reason I suppose.
Because it was THE LAW to have a separate director and Company secretary
until audit exemptions were changed a while back

Yes, henceTa1kinpeace's irritation. However it should be fairly easy for the OP to pick out the replies with links to useful information and proper explanations. So in that sense the OP has, hopefully, got what they needed.

I think it's a good illustration of why you should never agree to something you don't understand Grin

I'm a Optometrist locum and DH and I also have a LLP. We don't have a company secretary.

He doesn't need to have one, just let him know.

Just had a through though....you do need to have a secretary for a registered charity, maybe he's read the legislation for that and has mixed it up?

You used to require one but no longer

He needs accountancy advice before he sets the company up which will real rewards longer term.

There is so much inaccurate advice on this thread. By working on a lower salary and dividends there is much less of a tax benefit than 5 years ago. You need to balance that with the higher costs of running a ltd company.

You save on NI contributions, but you need to pay enough of a salary to trigger them unless you have enough years for pension already- you can check easily on line.

There are lots of specialist sites that have good quality information,other than Talkinpeace this thread isn’t one of them!
